Product Purchase Rules
1. General Provisions.
1.1. These rules for the purchase and sale of goods (hereinafter - the Rules) regulate the legal relationship between UAB „Delegatai“ (hereinafter - the Seller) and the person placing an order (hereinafter - the Buyer) for goods (hereinafter - the Goods) in the "ŽalgirisShop.lt" online store https://shop.zalgiris.lt/ (hereinafter - the Online Store).
1.2. These Rules apply to the conclusion of any agreements between the Seller and the Buyer regarding the sale of Goods (hereinafter - the Agreement). Before placing an order, the Buyer must familiarize themselves with and adhere to these Rules.
1.3. During each purchase, before completing the order, the Buyer must confirm their consent to the Rules.
1.4. These Rules may be amended and/or updated. The current version of the Rules is available to all buyers in the Online Store under the "Terms and Conditions of Purchase" section. Updated and/or amended Rules come into effect from the moment of their publication or another date specified in these Rules.
2. Personal Data Protection.
2.1. The Seller is UAB "Delegatai", company code 303192733, address Perkūno al. 5, LT-44221 Kaunas. Data about the Seller is collected and stored in the Register of Legal Entities, managed by the State Enterprise Centre of Registers.
2.2. The Seller's contact details are provided in the section "Contacts".
2.3. These rules apply to the purchase of Goods in the Online Store https://shop.zalgiris.lt/.
3. Conclusion of a Purchase-Sale Agreement
3.1. The Seller processes the Buyer's personal data in accordance with the Privacy Policy. The Privacy Policy is an integral part of these Rules.
3.2. For all questions related to personal data protection, Buyers can contact dap@zalgiris.lt.
4. Buyer's Rights and Obligations.
4.1. Goods in the Online Store may be purchased by:
4.1.1. capable natural persons, i.e., persons who have reached the age of majority and whose legal capacity is not restricted by a court order;
4.1.2. minors aged fourteen to eighteen, only with the consent of their parents or guardians, except when they independently dispose of their income;
4.1.3. legal entities;
4.1.4. representatives of the aforementioned persons.
4.2. By agreeing to these Rules, the Buyer confirms that they have the right to purchase Goods in the Online Store.
4.3. The total amount of the shopping cart must be no less than EUR 5.00. If the total amount of the shopping cart, excluding delivery fees, is less than EUR 5.00, an administration fee of EUR 3.00 will be applied. Information about the application of this fee is provided for each shopping cart creation.
4.4. The Seller's established procedure (form) for ordering Goods allows the Buyer to check and correct errors before submitting the final order. The Buyer is recommended to review the order at each stage of order submission.
4.5. The Agreement between the Buyer and the Seller is considered concluded when the Buyer, having formed a shopping cart in the Online Store, selected the Goods delivery and payment method, entered the requested data, and familiarized themselves with these Rules, clicks the "Place Order" button and pays for it.
4.6. After the Buyer places and pays for the order, an email confirming the receipt of the order is sent to the Buyer's email address specified in the order form, which includes the details of the Buyer's order with the attached valid Rules (in PDF format).
4.7. Confirmation of the Goods purchase is provided to the Buyer at the email address specified in the order form no later than the moment the Goods are handed over to the Buyer.
4.8. In exceptional cases, if the Seller is unable to fulfill the order (for example, because the Goods are not in stock), the Seller immediately informs the Buyer by email and/or other means (call and/or SMS message) and offers the Buyer a possible solution to the problem (for example, a refund, setting an additional deadline for Goods delivery, delivery of analogous goods, etc.). If the Buyer does not agree to any of the Seller's alternative offers, the execution of the Goods order is terminated, and the Buyer is additionally informed about the cancellation of the order by email. In the event of order termination, when the Buyer has already paid for the Goods, the Seller immediately, but no later than within 14 (fourteen) calendar days, refunds the amount paid by the Buyer to the Buyer's bank account from which the payment was made.
4.9. After preparing the order, the Seller sends the Buyer an email and/or an SMS message informing them that the Goods have been dispatched to the Buyer or are ready for collection at the store (depending on the chosen Goods delivery method).
4.10. Each Agreement (order) concluded between the Seller and the Buyer is registered and stored in the Online Store's database.
5. Price of Goods and Delivery Costs
5.1. The valid prices of Goods are indicated next to each Good in the Online Store.
5.2. All Goods prices in the Online Store are stated in euros.
5.3. Goods prices are indicated inclusive of value added tax (hereinafter - VAT) at the rate applicable in the Republic of Lithuania at the given time. In the event that the VAT rate changes between the order date and the delivery date, but the Buyer has fully paid for the Goods, the price of the Goods will remain unchanged.
5.4. The delivery fee is not included in the price of the Goods, unless explicitly stated otherwise. The delivery cost indicated at the time of placing the order applies to the placed order. Current delivery cost amounts are provided in the "Delivery Information" section next to each Goods description.
5.5. The exact amount of the Goods delivery fee is provided to the Buyer before order confirmation. After order confirmation, the amount of the Goods delivery fee cannot be changed.
5.6. When sending Goods abroad, customs duties for the shipment must be paid by the Buyer.
6. Payment
6.1. The Buyer can pay for the Goods using the following methods:
6.1.1. via the bank payment intermediary "Klix";
6.1.2. by payment (credit or debit) card;
6.1.3. via express payment methods "Shopify Payments/Shop Pay" or "Google Pay".
6.2. The Goods selected by the Buyer are reserved in the Seller's system, and the Seller begins processing the order once payment is received by the Seller.
7. Delivery of Goods.
7.1 When purchasing Goods in the Online Store, the Buyer chooses the method of Goods delivery.
7.2 By selecting the Goods delivery service to their chosen address during the order, the Buyer undertakes to specify the exact delivery location of the Goods.
7.3 Goods can be delivered by the following methods:
7.3.1. courier can deliver Goods to the address specified by the Buyer in Lithuania;
7.3.2. delivery via parcel partners to the parcel lockers specified in the Online Store;
7.3.3. the Buyer can collect the Goods at the Seller's stores during specified working hours.
7.4 Upon delivery and transfer of the Goods to the address specified by the Buyer, the Goods are considered transferred to the Buyer, regardless of whether the Goods are actually received by the Buyer or any other person who accepted the Goods at the specified address.
7.5 If the Buyer cannot personally accept the Goods, and the Goods are delivered to the address specified by the Buyer, the Buyer has no right to make claims to the Seller regarding the delivery of the Goods to an unsuitable person.
7.6 If the Buyer chooses the order delivery method via parcel partner lockers, the Buyer is identified by a personal parcel locker door code. The Buyer is informed about the delivery of the parcel and the location of the parcel by the Seller's parcel partners via SMS message. If the Buyer does not collect the parcel from the parcel locker, the parcel is returned to the Seller.
7.7 Goods are delivered to the address chosen by the Buyer within the period specified in the Goods descriptions, but no later than 30 days from the date of conclusion of the Agreement. The usual delivery period for Goods is 2-7 working days from the receipt of payment, except in cases where, due to unforeseen circumstances beyond the Seller's control, Goods delivery may be delayed. In such a case, the Seller undertakes to immediately inform the Buyer about the expected changes in the Goods delivery period and obtain the Buyer's consent regarding the changed Goods delivery conditions. If the Buyer agrees to a different Goods delivery period, the Seller delivers the Goods within the agreed reasonable period. However, if the Buyer does not agree to wait for the Goods due to the changed Goods delivery period, the Buyer has the right to cancel the order and get a refund for the purchased Goods.
7.8 During parcel delivery, the Buyer or their representative, together with the representative of the courier service organization, must check the condition of the parcel packaging. The Buyer, by signing the parcel acceptance-transfer document, confirms that the parcel was delivered in proper condition. If damage to the parcel packaging is found or an improper Goods set is established, the Buyer or their representative has the right not to accept the parcel. In such a case, the representative of the courier service organization, together with the Buyer or their representative, fills out an Act of Goods damage (discrepancy), specifying the identified damages.
7.9 If the Buyer or their representative accepts the parcel and signs in the data collector provided by the representative of the courier service organization or in the delivery confirmation without remarks, it is considered that the Goods were delivered in undamaged packaging and in proper set, if these discrepancies could be identified by inspecting the exterior of the Goods parcel and/or Goods.
7.10 The Seller is released from liability for violating Goods delivery deadlines if the Goods are not delivered to the Buyer or are delivered late due to the Buyer's fault or due to circumstances dependent on the Buyer.
7.11 If the Buyer chooses to pick up the Goods at the physical "ŽalgirisShop.lt" stores during store opening hours, the Goods are stored in the store for 60 calendar days. If the Goods are not picked up within the period specified in this point, the order is cancelled, and the money paid by the Buyer for the Goods is refunded immediately, but no later than 14 (fourteen) calendar days.
7.12 All delivery conditions, their changes, additions, and updates are provided in the "Delivery Information" section next to each Goods description.
7.13 Ownership of the Goods transfers to the Buyer from the moment the Goods are handed over to them.
8. Return of Goods and Cancellation of Contract.
8.1 The Buyer has the right, without stating a reason, to withdraw from the Agreement and return the received (collected) Goods within 14 (fourteen) calendar days. A Buyer wishing to exercise this right shall inform the Seller by submitting written information about the decision to withdraw from the Agreement and shall return (send or hand over) the Goods to the Seller no later than within 14 (fourteen) calendar days. The direct costs of returning the Goods shall be borne by the Buyer.
8.2 The Seller shall, without undue delay, but no later than within 14 (fourteen) calendar days from the date of return of the Goods or from the Buyer providing proof of sending the Goods to the Seller, refund to the Buyer all amounts paid for the Goods (including the costs of the cheapest standard delivery method offered by the Seller, if the Buyer had explicitly chosen them). The Seller shall use the same payment method for refunds as the Buyer used for the order, unless the Buyer explicitly agrees to a different payment method.
8.3 The Buyer shall be liable for any diminished value of the Goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the Goods, i.e., the Seller has the right to reduce the amount to be refunded to the Buyer proportionally to the aforementioned diminished value of the Goods if the returned Goods or their packaging have lost their marketable appearance (damaged labels, protective films, etc.), the Goods have been used, the Goods are without authentic labels and accessories with which they were sold, the Goods are in untidy and/or non-original packaging (without accompanying documents, for example, instructions, if delivered with the Goods), of a different composition than when purchased, or if gifts or other accessories delivered to the Buyer together with the sold Goods are not returned.
8.4 When returning the Goods, the Buyer must provide the Seller with documents confirming their purchase or copies thereof, or any other document confirming the purchase of the Goods from the Seller (e.g., a bank statement for a payment card) and the order number.
8.5 If the Buyer returns the Goods due to their quality defects, the Seller undertakes to fully refund the price paid by the Buyer for the defective Goods and to compensate for delivery and return costs.
8.6 If the Goods do not meet the quality requirements, the Buyer has the right to demand that the quality of the Goods be ensured, the price of the Goods be proportionally reduced, or to unilaterally cancel the order.
8.7 All conditions and cases for exchanging Goods of unsatisfactory quality for Goods of satisfactory quality and for their return are provided for in Articles 6.364(1), 6.364(2) and 6.364(3) of the Civil Code of the Republic of Lithuania (hereinafter - CC).
8.8 Goods purchased in the Online Store can be returned to any physical "ŽalgirisShop.lt" store.
8.9 The Buyer's right to withdraw from the Agreement and return Goods does not apply to Agreements concerning:
8.9.1. Goods manufactured according to the Buyer's specific instructions, i.e., Goods that are not pre-manufactured and are produced based on the Buyer's personal choice or instruction, or which are clearly tailored to the Buyer's personal needs (hereinafter - Custom-made Goods);
8.9.2. sealed Goods which were unsealed after delivery and are unsuitable for return due to health protection or hygiene reasons;
8.9.3. Goods which, after delivery, by their nature become inseparably mixed with other items;
8.9.4. sealed audio or video recordings or sealed computer software which were unsealed after delivery;
8.9.5. agreements for the supply of digital content which has begun to be performed and which stipulates the consumer's obligation to pay the price, if all conditions stipulated in Article 6.228(10) section 2 point 13 of the CC are met.
8.10. Custom-made Goods are considered to be those Goods that are not pre-manufactured and are produced according to the Buyer's individual instructions, for example, Goods with a customized inscription ordered by the Buyer, which can be expressed in words (e.g., a name) or numbers and/or other means, according to the Buyer's specified preference. These Goods are manufactured according to the Buyer's special order.
8.11. The shades of the Goods received by the Buyer and those presented in the Online Store may slightly differ, as color rendition depends on the individual characteristics of the Buyer's device. The images of Goods presented in the Online Store may show additional Goods accessories or components that are not included in the Goods set (the Goods set is indicated in the description section of each Good).
8.12. Inscriptions custom-ordered by the Buyer on ordered playing apparel are made using the same font as used on the official player apparel for the current season. Custom-ordered inscriptions are made with white or green film, chosen according to the color and design of the specific apparel.
8.13. A tolerance of 1-3 cm is applied to the size of Goods, as indicated in the size charts next to the product descriptions.
9. Manufacturer's Warranty
9.1. Some Goods sold by the Seller are covered by a manufacturer's warranty. Information about it and the applicable conditions are provided in the quality warranty document attached to the Goods or on another durable medium.
9.2. The manufacturer's warranty supplements the Buyer's rights related to defective Goods.
9.3. The manufacturer's warranty is considered an additional (voluntary) warranty. The requirements applicable to the manufacturer's warranty are set forth in Article 6.364(4) of the CC.
10. Statutory Warranty.
10.1. The Seller is liable to the Buyer for any non-conformity of the Goods with quality requirements, existing at the time of delivery of the Goods and becoming apparent no later than 2 (two) years from its delivery (statutory warranty).
10.2. This warranty is considered the Seller's confirmation that the items transferred to the Buyer are of proper quality at the moment of their transfer (comply with the terms of the Agreement and the requirements of documents establishing the quality of the items), suitable for use for their usual or specifically stated purpose, and have no hidden defects.
10.3. The statutory warranty applies only to defects existing prior to the moment of transfer of the Goods, as well as to hidden defects.
10.4. If the Buyer purchases Goods of unsatisfactory quality, the Buyer may contact the Seller with a request to replace or repair the Goods, reduce their price, or refund the money. When making such a request, the Buyer must provide the Seller with documents confirming the purchase of the Goods (copies thereof), specify the signs of the defect, malfunction, or substandard part of the Goods, and provide supporting evidence (for example, photos of the defective Goods). The remedies for Buyer's rights specified in this point do not apply to minor defects of the Goods.
10.5. A Buyer wishing to submit a complaint about defective Goods can do so by email at info@zalgirisshop.lt or at "ŽalgirisShop.lt" physical stores during specified working hours.
10.6. The Seller provides the Buyer with an answer regarding the adopted decision and intended actions within 14 (fourteen) calendar days from the date of receipt of the Buyer's request.
11. Buyer's obligations
11.1. The Buyer undertakes to provide only correct and complete data in the order form. If the data specified in the order form changes, the Buyer must update it immediately.
11.2. The Buyer undertakes to use the Online Store fairly and correctly, without harming its operation or stable functioning.
11.3. The Buyer must pay for the ordered Goods and accept them in accordance with the procedure established by these Rules.
11.4. The Buyer undertakes, before starting to use the Goods (including their assembly, installation, etc.), to inspect them and ensure that the received Goods are those that the Buyer ordered.
11.5. The Buyer must comply with other requirements established in these Rules, the Privacy Policy, and the legal acts of the Republic of Lithuania and the European Union.
12. Seller's obligations
12.1. The Seller undertakes to make all reasonable efforts to enable the Buyer to properly use the services provided by the Online Store.
12.2. The Seller undertakes to comply with all requirements enshrined in these Rules, the legal acts of the Republic of Lithuania and the EU.
12.3. If the Buyer attempts to harm the operation or data security of the Online Store in any way, or violates other obligations provided for in these Rules, and the Seller identifies them, the Seller has the right to restrict or revoke the Buyer's ability to use the Online Store without prior notice.
12.4. The Seller has the right at any time to temporarily suspend the operation of the online store without prior notice to the Buyer, if this is objectively necessary to perform any technical or software improvements or other works foreseen by the Seller and/or the company maintaining or hosting the online store.
13. Final provisions
13.1. These Rules are prepared in accordance with the legal acts of the Republic of Lithuania and the European Union regulating distance selling, consumer rights protection, data processing, and other requirements related to distance selling.
13.2. These Rules and the relations between the parties are governed by the laws of the Republic of Lithuania and are interpreted according to the law of the Republic of Lithuania.
13.3. A Buyer who believes that their rights have been violated has the opportunity to submit a complaint to the Seller by email to info@zalgirisshop.lt. The Seller shall provide the Buyer with a response within 14 (fourteen) calendar days from the date of receipt of the Buyer's written claims.
13.4. If the dispute cannot be resolved through negotiations, the Buyer has the right to submit a request/complaint to the State Consumer Rights Protection Authority (A. Goštauto g. 12, 01108, Vilnius, e-delivery box address 188770044, e-mail tarnyba@vvtat.lt, tel. +370 5 2626760, website https://vvtat.lrv.lt/), as well as to the territorial units of the State Consumer Rights Protection Authority in counties or in the Consumer Rights Information System (VTIS).
Gift Voucher Usage Rules
The "ŽalgirisShop.lt" gift voucher (hereinafter - Gift Voucher) can be purchased:
a. In the Online Store https://shop.zalgiris.lt/;
b. In physical "ŽalgirisShop.lt" stores.
2. Buyers can purchase Gift Vouchers worth 15 Eur, 30 Eur, 50 Eur, 60 Eur, and 100 Eur.
3. The Gift Voucher is valid for 3 months from the date of purchase.
4. The Gift Voucher must be exchanged for Goods during a single purchase.
5. Multiple gift vouchers can be used during a single purchase (if the value of one Gift Voucher is insufficient to pay for the selected items).
6. If items are chosen whose price exceeds the amount specified on the Gift Voucher, the Buyer must pay the price difference.
7. If items are chosen for a smaller amount, the price difference is not refunded.
8. The Gift Voucher amount cannot be exchanged for cash.
9. Match tickets cannot be purchased with a Gift Voucher.
10. If the Gift Voucher has not been used within its validity period, it shall subsequently be considered invalid.
11. The Gift Voucher cannot be returned, but its validity can be extended for an additional 10 calendar days for an additional fee of 10 Eur.
12. A VAT invoice is not issued when purchasing a Gift Voucher. Upon the Buyer's request, an acceptance-transfer act is issued. For the issuance of these acts, Buyers should contact info@zalgirisshop.lt.
13. Falsifying, copying, reproducing, or using or acquiring the Gift Voucher in any other illegal way is strictly prohibited. Persons illegally using the Gift Voucher may be subject to criminal liability.
14. If the voucher is purchased in the Online Store, it is sent to the Buyer on the same business day after payment is received (if the order is placed by 5 PM), or on the next closest business day, to the email address specified in the Buyer's order form.
15. By purchasing a Gift Voucher, the Buyer confirms that they have read and agree to the Gift Voucher purchase and usage rules. The Distributor reserves the right to change the Gift Voucher usage rules at any time, and such changes shall take effect from their publication on the website https://shop.zalgiris.lt/.
16. A Gift Voucher purchased in the Online Store is not valid in physical stores.
17. A Gift Voucher purchased in a physical store is not valid in the Online Store.
18. Gift Vouchers can only be purchased with cash in physical stores. Payment for Gift Vouchers by card is not possible in physical stores.
